Terms of Service
Last updated 3 September 2026
These Terms of Service ("Terms") constitute a legally binding contract between Resurf LLC ("Company," "we," "us," or "our") and the business entity establishing an account ("Customer," "you," or "your"). By registering for a workspace, accessing, or using the Rent Ride platform ("Service"), you expressly acknowledge that you have read, understood, and agree to be bound by these Terms, which incorporate our Privacy Policy, Acceptable Use Policy, Technical Abuse Policy, Cookie Policy, and Data Processing Addendum by reference.
1. Parties and Acceptance
The Service is operated by Resurf LLC, a Wyoming limited liability company headquartered at 5830 E 2ND ST, STE 7000, Casper, Wyoming 82609, United States.
- By establishing a workspace, the individual accepting these Terms represents and warrants that they possess the legal authority to bind the Customer entity to this agreement.
- The Customer is strictly responsible and liable for the actions, omissions, and compliance of all authorized users (staff, contractors, agents) invited into the workspace.
- You must be a valid, legally registered business entity capable of forming a binding contract in your operating jurisdiction to utilise the Service.
- The Acceptable Use Policy, the Technical Abuse Policy, the Cookie Policy, the Privacy Policy, and the Data Processing Addendum each form part of these Terms. In the event of a direct conflict between these Terms and the Data Processing Addendum regarding the handling of personal data, the Data Processing Addendum shall govern.
2. Account Registration and Security
Account Accuracy
The Customer must provide accurate, current, and complete corporate and billing information. It is your strict obligation to maintain the accuracy of this data for invoicing and legal notices.
Access Management
The Customer retains absolute control over the provisioning, scoping, and revocation of staff accounts. We rely on the role-based access permissions you configure and are not liable for internal data exposure resulting from misconfigured permissions.
Credential Security
Login credentials must not be shared. All activity occurring under your workspace is deemed to be authorized by you. You must notify us immediately upon suspecting any unauthorized access or security breach.
3. Subscription Fees and Payment Terms
Access to the Service is provided on a subscription basis. All fees are quoted on our official pricing page, processed securely via Stripe, and are non-refundable except where explicitly stated.
Trials and Billing Cycles
A subscription begins with a seven (7) day free trial. A payment card is required at sign-up and is validated at that point; billing commences automatically at the end of the trial unless the subscription is canceled before it. If no valid card is attached, the subscription is canceled rather than continued. Each business entity is entitled to one trial, once. The entitlement is consumed when the trial starts and is not restored by canceling. All subscriptions bill monthly; we do not currently offer annual or committed-term billing.
Plan Modifications
Upgrading a plan, or any change that increases what your subscription includes, is invoiced immediately and prorated for the remainder of the billing cycle, because the additional capacity is available immediately. A change that reduces your subscription raises no credit and no refund: your invoice is smaller from the next billing date, and until the period you have already paid for ends, you keep the capacity you paid for rather than losing it the afternoon you press the button.
Usage-Based Billing
Add-ons such as additional staff seats or branch locations are billed by quantity. Adding one generates an immediate prorated charge. Removing one lowers your bill from the next invoice and raises no credit, on the same basis as a plan reduction above.
Transactional Messages
Plans include a defined monthly allowance for transactional messages. By default, overage volumes are not blocked but are billed automatically at the overage rate specified on your active plan, to ensure business continuity. You may instead choose in your email settings to have sending stop when the allowance is used, in which case no overage is billed and messages are not sent for the remainder of the period.
Payment Processing & Taxes
All credit card transactions are managed by Stripe subject to the Stripe Services Agreement. We do not store primary account numbers (PAN). Prices exclude applicable taxes, which will be calculated and appended at checkout where legally required.
Default and Price Modifications
A failed payment does not immediately restrict the workspace. While our payment processor is retrying the charge, the workspace continues to work in full and the failure is shown to you in the application. Once those retries are exhausted, or the subscription otherwise ends, the workspace becomes read-only: everything already recorded remains visible and can be read and printed, and nothing new can be created until payment is resolved. We do not delete data for non-payment. We reserve the right to modify subscription pricing upon thirty (30) days prior written notice.
4. Data Ownership and Processing
Customer Data Ownership
You retain all rights, title, and interest in the data you submit to the Service. You grant us a limited, worldwide, non-exclusive licence to host, process, and transmit this data solely as necessary to provide and secure the Service.
End-User (Renter) Data
You act as the sole Data Controller regarding your end-users (renters). We act strictly as a Data Processor. You bear sole legal responsibility for establishing the lawful basis for collecting this data and handling their privacy inquiries.
Data Portability and Deletion
The Service does not currently offer a self-serve bulk export. Individual records, documents and invoices can be opened and downloaded from within the workspace, and you may request a copy of your workspace data in a machine-readable format by writing to us; we will provide it within thirty (30) days. Canceling a subscription deletes nothing: the workspace is retained in a read-only state so that your records remain available to you. Deletion happens when you ask for it; the Data Processing Addendum sets out the timetable and what survives it.
Telemetry and Analytics
We reserve the right to utilise aggregated, de-identified telemetry data derived from your usage of the Service to monitor performance, optimize infrastructure, and develop new features. Such data will never identify the Customer or its renters.
5. End-User Payment Processing Disclaimer
Rent Ride provides software to document bookings and issue invoices. We do not participate in, or process, the transfer of funds between you and your renters.
- The processing of renter payments must be conducted through your independent payment gateways, subject to your separate merchant agreements.
- Any financial disputes, chargebacks, or claims for refunds initiated by a renter remain strictly between the Customer and the renter.
- Customers are strictly prohibited from entering full credit card numbers (PAN) into notes, custom fields, or any unencrypted text inputs within the Service.
6. Regulatory Compliance and Disclaimers
We provide B2B software infrastructure, not legal or operational protection. Operating a lawful vehicle rental business remains your exclusive responsibility.
- The Customer is solely liable for complying with all local, state, and federal laws governing vehicle rentals, including licensing, insurance mandates, consumer protection, and roadworthiness standards.
- The Service, including system-generated agreements or calculations, does not constitute legal, tax, or accounting advice. You must consult qualified counsel to verify that your documents meet jurisdictional requirements.
- We disclaim all liability regarding the accuracy of your inputs. System outputs are directly reliant upon the integrity of the data you enter.
7. Acceptable Use and Restrictions
Access to the Service is conditional upon compliance with our Acceptable Use Policy. You expressly agree not to:
- Utilise the Service for any unlawful purpose, or to store data obtained without lawful consent.
- Sub-license, resell, time-share, or otherwise commercialize access to your workspace to third-party entities.
- Reverse engineer, decompile, or attempt to extract the source code or underlying algorithms of the Service.
- Violate the terms of our underlying infrastructure providers (e.g., AWS, Supabase), or circumvent the technical limitations of your subscription tier.
- Access the Service if you are located in a jurisdiction subject to comprehensive US embargo, or if you are listed on any US Government list of prohibited or restricted parties.
8. Service Availability and Modifications
We strive to provide a resilient platform, but we do not guarantee absolute uptime.
- We will execute commercially reasonable efforts to maintain Service availability and will schedule maintenance during off-peak windows whenever feasible.
- We do not warrant that the Service will be uninterrupted, error-free, or entirely immune to unauthorized intrusion.
- We reserve the right to modify, deprecate, or enhance features of the Service. We will provide advance notice of any material depreciation that substantially diminishes core functionality.
9. Term, Suspension, and Termination
Termination by Customer
You may terminate this agreement at any time by canceling your subscription in the application settings. The cancellation takes effect at the end of the period you have already paid for, and the workspace continues to work in full until that date. No refunds are provided for the remaining active period. After that date the workspace becomes read-only and is retained until you ask us to delete it.
Suspension and Termination by Company
We reserve the right to immediately suspend or terminate your workspace without liability if you breach these Terms, fail to remit payment, or if your usage threatens the security or stability of our infrastructure.
Third-Party Provider Actions
If a critical infrastructure provider (e.g., AWS SES for email dispatch) suspends your specific sending privileges due to bounce/complaint violations, we will mirror that restriction. This does not constitute a breach of our service obligations.
10. LIMITATION OF LIABILITY AND DISCLAIMER OF WARRANTIES
Please read this section carefully as it limits the legal liability of Resurf LLC.
- THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
- UNDER NO CIRCUMSTANCES SHALL RESURF LLC, ITS AFFILIATES, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, REVENUE, DATA, OR GOODWILL, REGARDLESS OF THE CAUSE OF ACTION.
- OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT SHALL IN NO EVENT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).
- This limitation of liability applies globally across all claims, including those arising under the Data Processing Addendum, and survives the termination of this agreement.
- The Customer agrees to indemnify, defend, and hold harmless Resurf LLC against any third-party claims, including renter disputes or regulatory enforcement actions, arising from your direct use of the Service, your rental operations, or your breach of these Terms.
11. Modifications to the Terms
We reserve the right to amend these Terms at our sole discretion. Material modifications will be communicated to the workspace owner via email or in-app notification prior to enforcement. Your continued use of the Service following the effective date of an update constitutes legally binding acceptance of the revised Terms. If you reject the changes, your sole remedy is to cancel your subscription.
12. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, expressly excluding its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods is explicitly disclaimed.
- Exclusive venue and jurisdiction for any litigation arising from these Terms shall vest in the state and federal courts located in Natrona County, Wyoming. Both parties expressly consent to this jurisdiction and waive objections of inconvenient forum.
- Any legal claim or cause of action must be filed within one (1) year after the event giving rise to the claim occurred, otherwise it is permanently barred.
- CLASS ACTION WAIVER: Both parties agree that any claims will be adjudicated on an individual basis. Neither party shall participate in a class, collective, or representative action against the other.
- If any provision of these Terms is deemed unenforceable by a court of competent jurisdiction, it shall be modified to the minimum extent necessary to make it valid, and the remainder of the Terms shall remain in full force.
- These Terms, alongside the Privacy Policy and applicable addendums, constitute the entire agreement between the parties.
