Enterprise terms
Last updated 3 September 2026
These terms apply where a business buys Rent Ride under a signed order form or written agreement with us rather than by signing up and paying by card. They replace the self-serve terms of service for that customer. Note that they are not the terms for the Enterprise plan: that plan is bought by card like any other, and the self-serve terms of service govern it. If you did not sign an order form, this document is not your agreement. Everything not addressed here is as set out in the terms of service, the acceptable use policy, the technical abuse policy and the data processing agreement, each of which forms part of this agreement.
What makes up the agreement, and which part wins
Where documents conflict, they are read in this order, highest first.
- A signed order form or amendment, but only where it expressly identifies the term it is varying.
- These enterprise terms.
- The data processing agreement, which governs on any question about the processing of personal data.
- The acceptable use policy and the technical abuse policy.
- The terms of service.
- A purchase order, vendor portal terms, or any other document issued by the customer has no contractual effect, whatever it says and whether or not we acknowledge it. Only a document we have signed can vary this agreement.
Term and renewal
Initial term
As stated on the order form, beginning on the start date it names. If none is stated, twelve months from the date access is first made available.
Renewal
The agreement renews for successive periods equal to the initial term unless either party gives written notice of non-renewal at least thirty days before the current term ends.
Price on renewal
We may change the price for a renewal term by giving at least sixty days’ written notice before the current term ends. If you do not accept the change, you may decline to renew.
Termination for cause
Either party may terminate for a material breach that is not cured within thirty days of written notice describing it, or immediately if the other becomes insolvent, enters administration or ceases to trade. We may suspend immediately under the acceptable use policy without waiting for that period.
What happens on termination
Access ends. Fees already paid are not refunded except where you terminate for our uncured material breach, in which case we refund fees paid for the unused remainder of the then-current term. Your workspace is retained in a read-only state, and on request we will provide a copy of your data in a machine-readable format within thirty days. It is deleted when you ask for it, on the timetable in the data processing agreement, and not before.
Fees and payment
- Fees are those stated on the order form, in the currency it states, and are payable within thirty days of invoice unless it says otherwise.
- Fees are exclusive of tax. Where withholding is required by law, the amount payable is grossed up so that we receive what we would have received without it.
- Usage beyond what the order form includes, whether additional seats, branches, storage or messages, is charged at the rates stated there, or at our then-current list price where it does not state one.
- Late amounts carry interest at one and a half per cent per month or the highest rate the law allows, whichever is lower, and we may suspend the service for an invoice more than thirty days overdue after giving written notice.
- Fees are non-refundable except where these terms expressly say otherwise. Committed quantities cannot be reduced mid-term.
Availability and support
Availability
We aim to keep the application available continuously and treat an outage as the most urgent thing in front of us. We do not commit to a percentage and we do not offer service credits, because we do not currently operate the measurement a credit would have to be calculated from, and a remedy neither party can compute is not a remedy. The disclaimer in the terms of service applies. Where an availability commitment is required, it must be written into the order form and agreed in advance.
Support
Support is provided by email. We aim to acknowledge on the next working day and to treat an issue that makes the service unusable as the priority above all other work. These are aims rather than contractual response times, and they carry no credits. Where a response time is required, it must be written into the order form.
Maintenance
We will give reasonable advance notice of planned maintenance likely to interrupt the service, and will schedule it outside your business hours where we can. Emergency maintenance may be carried out without notice.
Confidentiality
- Each party will keep the other’s confidential information in confidence, use it only for this agreement, and protect it with at least the care it applies to its own.
- This does not apply to information that is public without breach, was already known, is independently developed, or is lawfully received from a third party.
- Disclosure compelled by law is permitted, with notice to the other party where the law allows it.
- These obligations continue for three years after termination, and indefinitely for anything that is a trade secret.
Intellectual property
- We own the service and everything in it, including all improvements. Nothing here transfers any of it to you.
- You own your data. You grant us only the licence needed to host, process, transmit and display it in order to provide the service, and to make backups.
- Where you give us feedback or suggestions, we may use them without restriction or obligation. You are not required to give any.
- We may use aggregated, de-identified statistics derived from use of the service to operate and improve it. Such statistics never identify you, your staff or your renters, and are never disclosed in a form that could.
- We may not use your name or logo as a reference or in publicity without your prior written consent.
Warranties, and their limits
This section allocates risk, and the disclaimer is as important as the warranty.
- We warrant that the service will perform materially as described in our documentation, and that we will provide it with reasonable skill and care. If it does not, we will use reasonable efforts to correct it, and if we cannot within a reasonable time you may terminate and receive a refund of fees paid for the unused remainder of the term. That is your exclusive remedy for breach of this warranty.
- We warrant that we will not knowingly introduce malicious code into the service.
- Each party warrants that it has the authority to enter this agreement.
- EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED “AS IS” AND WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
- We do not warrant that the service will be uninterrupted, error-free or secure against every attack, that it will meet requirements we have not agreed in writing, or that it will make your business compliant with the law that regulates vehicle rental where you operate.
Indemnities
We defend you against infringement claims
We will defend you against a third-party claim that the service as provided by us infringes that party’s intellectual property rights, and pay damages finally awarded or agreed in settlement. If the service becomes, or we believe it may become, the subject of such a claim, we may procure the right to continue using it, modify it so it is no longer infringing, or terminate and refund fees paid for the unused remainder of the term.
What that does not cover
Claims arising from your data, from use in breach of this agreement or the acceptable use policy, from combination with anything we did not supply, from a modification we did not make, or from your continued use after we told you to stop.
You defend us against claims about your use
You will defend us against a third-party claim arising from your data, your use of the service, your breach of the acceptable use policy, or your conduct of your own rental business, including a claim by a renter, a regulator or a data protection authority, and pay damages finally awarded or agreed in settlement.
How an indemnity works
The party seeking indemnity must give prompt written notice, give the other sole control of the defence and settlement, and provide reasonable cooperation. No settlement admitting liability on the other party’s behalf may be made without its consent.
Limitation of liability
Read this section. It caps what either party can recover, and the pricing of this agreement reflects it.
- NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST GOODWILL OR LOST OR CORRUPTED DATA, HOWEVER CAUSED AND WHETHER OR NOT IT WAS ADVISED SUCH LOSS WAS POSSIBLE.
- EACH PARTY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT IS LIMITED TO THE FEES PAID OR PAYABLE BY YOU IN THE TWELVE MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM.
- That cap applies in aggregate across all claims, whether in contract, tort, negligence, strict liability or otherwise, and applies to claims under the data processing agreement rather than being additional to them.
- The cap does not apply to your obligation to pay fees, to either party’s indemnity obligations, to a breach of confidentiality, or to liability that cannot be limited by law, including death or personal injury caused by negligence, and fraud or fraudulent misrepresentation.
- These limits apply even if a remedy fails of its essential purpose.
General
Governing law and venue
This agreement is governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws rules. The state and federal courts sitting in Natrona County, Wyoming have exclusive jurisdiction, and each party submits to it and waives any objection based on venue or forum. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Force majeure
Neither party is liable for a failure caused by something outside its reasonable control, including acts of God, war, civil unrest, labour disputes, governmental action, network or power failure, and the failure of an upstream infrastructure provider. The obligation to pay fees already incurred is not excused.
Assignment
Neither party may assign this agreement without the other’s written consent, except that either may assign it in full to a successor in a merger, acquisition or sale of substantially all its assets, on written notice.
Export and sanctions
Each party will comply with applicable export control and sanctions laws. You represent that you are not located in, or acting on behalf of anybody in, a country or on a list subject to United States sanctions, and that you will not make the service available to such a person.
Notices
Notices to us go to legal@rentride.app and to Resurf LLC, 5830 E 2ND ST, STE 7000, Casper, Wyoming 82609, United States. Notices to you go to the contact on the order form or the account. Notice is effective on receipt, or on the next business day if sent by email outside business hours.
Entire agreement and severability
This agreement is the entire agreement on its subject and supersedes everything said before it. If a provision is held unenforceable it is modified to the minimum extent necessary, or severed, and the rest stands. A failure to enforce a right is not a waiver of it. Nothing here creates a partnership, agency or employment relationship, and there are no third-party beneficiaries.
